Terms of Service

1. Acceptance of Terms & Engagement Scope

By accessing our web platforms or executing a Statement of Work (SOW) with Art Relic Technologies ('Company', 'we', or 'us'), the client entity ('Client') agrees to be bound by these Terms of Service and any associated Master Services Agreements (MSAs). These terms govern our custom software development, cloud infrastructure modernization, AI engineering, and technical advisory services.

2. Engineering Pods & Milestone Delivery

Art Relic Technologies delivers engineering services through autonomous, senior-led pods or fixed-scope milestone projects:

• Sprint Milestones: Work is executed in iterative 2-week agile sprints with continuous integration, staging demos, and weekly progress reports.
• Code Quality & Testing: All deliverables must pass automated unit tests, integration tests, static code analysis, and security reviews prior to production rollout.
• Change Requests: Scope modifications outside the agreed SOW will be evaluated collaboratively and documented with updated milestone timelines.

3. Intellectual Property (IP) Transfer

We maintain a strict client-first intellectual property policy:

• 100% Client Ownership: Upon settlement of milestone invoices, all custom source code, documentation, UI assets, database schemas, and proprietary algorithms created for the Client are transferred 100% to the Client.
• Pre-existing Tools: Any open-source libraries or pre-existing open-standard tooling utilized remain governed by their respective standard open-source licenses (MIT, Apache 2.0, BSD).

4. Confidentiality & Enterprise NDA

Both parties agree to treat all business plans, architectural blueprints, trade secrets, customer data, and source code as strictly confidential. This obligation remains in full effect perpetually after project completion or termination of services.

5. Service Level Commitments & Warranty

We stand behind the engineering excellence of our codebases:

• 99.9% Uptime Architecture: Cloud systems designed by Art Relic Technologies are architected for high availability across multi-region configurations.
• 30-Day Post-Launch Warranty: We provide a complimentary 30-day bug resolution warranty following production cutover to ensure stability under live user loads.
• Enterprise SLAs: Dedicated 24/7 emergency response SLA tiers (15-minute response times) are available for mission-critical production platforms.

6. Invoicing & Payment Terms

Invoices are issued based on agreed project milestones or bi-weekly sprint cycles. Payment terms are net-15 days from invoice issuance, payable via international wire transfer, ACH, or designated corporate payment gateways.

7. Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, or consequential damages. Total liability arising out of an engagement shall be limited to the total fees paid by the Client to Art Relic Technologies in the preceding 3 months under the relevant SOW.

8. Governing Law & Dispute Resolution

These terms shall be governed and construed in accordance with standard international commercial arbitration laws. Any disputes will first be resolved through good-faith executive mediation before formal arbitration.
